Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Quotecastsand quotecasts.com (the "Service"), operated by Double V Gagné Inc.. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Quotecasts lets service businesses create branded, video-enabled quotes and proposals, share them with clients, track engagement, and optionally collect payments from their clients through Stripe.

2. Eligibility and accounts

You must be able to form a binding contract and provide accurate account information. You are responsible for keeping your credentials secure and for all activity under your account.

3. Your content and your clients' data

You retain ownership of the content you create and the client information you upload. You grant us a limited, worldwide, royalty-free license to host, process, and display that content solely to operate and provide the Service. You represent that you have the right to upload your clients' information and to send them communications, and that you act as the controller of that data while we act as your processor. Our handling of personal information is described in the Privacy Policy.

4. Acceptable use

You agree not to:

• upload unlawful, infringing, deceptive, or harmful content, or use the Service to send spam;
• attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service;
• use the Service to violate the rights of others or any applicable law.

5. Subscriptions and billing

Paid plans (such as Solo and Studio) are billed through Stripe on a recurring basis until cancelled, at the fees shown at checkout. Renewals are automatic. You may cancel at any time, and access continues until the end of the current paid period. On downgrade or cancellation your account moves to the Free plan and your data is retained for a grace period (currently 30 days) so you can resubscribe. Except where required by law, fees already paid are non-refundable.

6. Client payments (Stripe Connect)

If you enable payments, your clients pay you directly through your connected Stripe account. You are the merchant of record for those transactions. We are not a party to them and are not responsible for the underlying goods or services, and Stripe's terms apply to your use of Stripe.

7. Third-party services

The Service relies on third parties including Stripe, Supabase, Cloudflare, Resend, Google, and Vercel. We are not responsible for their acts or omissions, and their terms may apply to your use of their features.

8. Intellectual property

We and our licensors own the Service, including its software, branding, and content, excluding the content you create. These Terms grant you no right in our intellectual property other than the right to use the Service.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted or error-free, or that using it will result in any particular business outcome.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data.

11. Indemnification

You will indemnify and hold us harmless from claims, damages, and expenses arising out of your content, your clients' data, or your use of the Service in breach of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. You may export your data during the retention grace period described above.

13. Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there, without regard to conflict of law rules. The courts located in Quebec have exclusive jurisdiction over any dispute, subject to any mandatory consumer protection rules that apply to you.

14. Changes to these Terms

We may update these Terms from time to time. The "last updated" date will change, and your continued use of the Service after a change means you accept the updated Terms.
